1. Acceptance of these Terms

By accessing www.pinnova.com, downloading Pinnova BDS, or subscribing to a Pinnova plan, you agree to these Terms of Service ("Terms"). If you're accepting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you don't agree to these Terms, don't use the site or the software.

2. What Pinnova Provides

Pinnova provides Pinnova BDS, software that helps enterprises productize, inventory, profile, validate, monitor, and publish their data. Pinnova BDS is installed and runs entirely inside your own network — it is not a hosted service, and we do not host, process, or have access to the data you connect it to. Licensing is enforced locally within your installation; no data, schema, or connection information is ever transmitted to Pinnova as part of normal operation.

3. Accounts

You must provide an accurate email address to create an account or complete a subscription. You're responsible for maintaining the confidentiality of any sign-in link or session associated with your account and for all activity under it. Accounts are intended for use by a business, government entity, or professional individual — not for personal, household, or consumer purposes.

4. Subscriptions, Billing, and Cancellation

Paid plans are billed through our payment processor, Stripe, on the billing interval you select at checkout — monthly (charged each month) or annual (charged once per year, in advance, at the discounted annual rate shown at checkout). Either interval renews automatically for the same period until you cancel. By subscribing, you authorize Pinnova (via Stripe) to charge your payment method on a recurring basis for the interval you selected until you cancel.

• The Professional tier includes up to 3 licensed data products at no charge.
• The Team tier is billed per data product beyond the first 3, with a minimum subscription of 10 licensed data products, at the rate shown at checkout for your chosen interval. It does not include email support or the reference data model library.
• The Enterprise tier is billed per data product beyond the first 3, with a minimum subscription of 36 licensed data products, at the rate shown at checkout for your chosen interval.
• On either paid tier the quantity can be increased at any time through your account's billing portal and not reduced below that tier's minimum; you can also move between tiers, subject to the new tier's minimum.
• You can change your licensed data-product count, switch between monthly and annual billing, or cancel your subscription at any time through the Stripe-hosted billing portal, accessible from your account page.
• Plan and quantity changes take effect immediately and are prorated: we credit the unused portion of your current billing period and charge the new price or adjusted quantity for the remaining time in that period, invoiced at the time of the change. Any resulting credit is applied to your account toward future charges and is not paid out as a cash refund.
• Cancellations take effect at the end of the current paid period. We do not provide prorated refunds for partial billing periods — including the unused remainder of an annual term — except where required by law. Your license continues to operate through the end of the paid period, plus any applicable grace period.
• Fees are exclusive of taxes; you're responsible for any applicable taxes other than those based on Pinnova's income.

5. License to the Software

Subject to these Terms and payment of applicable fees, Pinnova grants you a non-exclusive, non-transferable, revocable license to install and use Pinnova BDS within your organization, up to the number of data products reflected in your current entitlement. Pinnova BDS itself is proprietary software; the license terms embedded with your installation (see the software's own LICENSE and NOTICE files) govern its use in more detail and control in the event of any conflict with this section. You may not sublicense, resell, reverse engineer, or redistribute Pinnova BDS except as those terms expressly permit.

Your license entitlement is represented by a signed license key tied to your subscription and activated for one specific installation. Attempting to bypass, forge, or tamper with license verification is a material breach of these Terms.

6. Acceptable Use

You agree not to: (a) use the website or software to violate any law; (b) attempt to gain unauthorized access to Pinnova's systems, including the website's backend services; (c) interfere with or disrupt the integrity or performance of the website; or (d) use the AI assistant on this site to attempt to extract its underlying instructions, generate unlawful content, or abuse the service (e.g., automated bulk querying).

7. Intellectual Property

The Pinnova website, its content, and the Pinnova BDS software are owned by Pinnova and protected by copyright, trademark, and other intellectual property laws. "Pinnova" and "Pinnova BDS" are trademarks of Pinnova. Nothing in these Terms transfers any intellectual property rights to you except the limited license described in Section 5.

8. Disclaimer of Warranties

The website and software are provided "as is" and "as available," without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. Pinnova does not warrant that the software will be uninterrupted, error-free, or that data validation results will be complete or accurate for your specific use case — you remain responsible for independently verifying results critical to business decisions.

9. Limitation of Liability

To the maximum extent permitted by law, Pinnova will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or related to your use of the website or software, even if advised of the possibility of such damages. Pinnova's total liability for any claim arising from these Terms or your subscription will not exceed the amount you paid Pinnova in the twelve (12) months preceding the claim.

10. Termination

You may stop using the website and cancel your subscription at any time. Pinnova may suspend or terminate your access to paid features if you fail to pay applicable fees or materially breach these Terms. Sections that by their nature should survive termination (including Sections 7, 8, 9, and 11) will survive.

11. Governing Law

These Terms are governed by the laws of the United States and the State of Texas, without regard to its conflict-of-laws principles. Any dispute arising from these Terms will be resolved exclusively in the state or federal courts located in Harris County, Texas, and you consent to the personal jurisdiction and venue of those courts.

12. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we'll update the "Last updated" date above and, for active subscribers, make reasonable efforts to notify you (such as by email). Continued use of the website or software after changes take effect constitutes acceptance of the revised Terms.
